Terms & Conditions

2. Scope of Services

We provide custom development, design, digital marketing, hosting, maintenance, and consulting services. Specific deliverables, timelines, milestones, and fees are set out in separate Statements of Work, proposals, or contracts between you and HyFe. These Terms apply to all such agreements unless otherwise expressly stated in a signed document.

3. Orders, Quotes & Acceptance

All quotes and estimates are valid for the period stated in the quote. A binding agreement is created only when we issue an invoice and you pay the required deposit (if any), or when both parties sign a written agreement or Statement of Work.

4. Fees, Payment & Taxes

  • Fees for Services are set in the applicable proposal or invoice. Unless stated otherwise, all fees are payable in Indian Rupees (INR) and are exclusive of taxes, duties, or levies, which will be added where applicable.
  • Invoices are due as per the payment schedule. Late payments may incur interest at the rate specified in the invoice or, if none is specified, at a rate permitted by law.
  • We may suspend access to Services if payments are overdue.

5. Changes, Scope Creep & Additional Work

Any requests outside the agreed scope will be treated as additional work and charged separately. We will provide an estimate and require acceptance before commencing additional work.

6. Client Obligations

  • You will provide timely access to people, content, assets, and information reasonably required for us to perform the Services.
  • You are responsible for the accuracy and legality of content you supply and for obtaining any necessary rights or permissions.

7. Intellectual Property

Unless otherwise agreed in writing, HyFe retains ownership of its pre-existing tools, frameworks, libraries, and code ("Background IP"). On full payment of all amounts due, HyFe grants you a non-exclusive, worldwide, perpetual license to use the deliverables produced specifically for you, subject to any third-party license terms. We reserve the right to showcase non-confidential work in our portfolio and marketing materials.

8. Third-Party Services & Software

Deliverables may include third-party components or services (e.g., analytics, payment gateways, plugins). Those components are subject to their own terms and licenses. You are responsible for any third-party fees and compliance with third-party terms.

9. Confidentiality

Each party will keep confidential any non-public information disclosed by the other party and will not use it except to perform its obligations under these Terms. Confidential information does not include information that is already public, independently developed, or required to be disclosed by law.

10. Data Protection & Privacy

We process personal data in accordance with applicable data protection laws and our Privacy Policy. Please review our Privacy Policy for details on what we collect, how we use it, and your rights. If we process personal data on your behalf, we will act as a processor only where a separate Data Processing Agreement is executed.

11. Warranties & Disclaimers

  • We warrant that we will perform Services with reasonable skill and care according to industry standards. Except as expressly stated, our services and deliverables are provided "as is" and HyFe disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant uninterrupted access, error-free operation, or protection against security breaches beyond reasonable industry practices and configurations we apply.

12. Limitation of Liability

To the maximum extent permitted by law, HyFe's total liability arising out of or related to these Terms or Services will not exceed the total fees paid by you to HyFe under the relevant Statement of Work during the twelve (12) months preceding the claim. HyFe will not be liable for indirect, incidental, special, or consequential damages, lost profits, loss of data, or business interruption.

13. Indemnification

You agree to indemnify, defend and hold harmless HyFe and its affiliates, officers, agents, and employees from any third-party claims arising from (a) your content, (b) your misuse of our Services, or (c) your breach of these Terms.

14. Termination

Either party may terminate an agreement for material breach if the other party fails to cure the breach within 30 days following written notice. Upon termination, you will pay for Services performed and non-cancellable commitments made prior to termination. Sections that by their nature survive termination (e.g., Intellectual Property, Confidentiality, Limitation of Liability, Indemnity) will survive.

15. Refund & Cancellation Policy

Refunds and cancellations are handled in accordance with the relevant contract or Statement of Work. Unless stated otherwise, deposits are non-refundable once work has commenced. For subscriptions or hosted services, cancellation terms will be described in the subscription agreement.

16. Security & Backups

We follow reasonable security practices. You are responsible for maintaining your own backups of content and data unless we have agreed to provide backup services as part of the engagement.

17. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved amicably. If unresolved within 60 days, disputes will be subject to the exclusive jurisdiction of courts located in Tamil Nadu, India, unless otherwise agreed in writing.

18. Changes to Terms

We may revise these Terms from time to time. If changes are material, we will make a reasonable effort to notify you (for example via email or a notice on our Services). Continued use of the Services after changes constitutes acceptance of the updated Terms.

19. Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.

20. Entire Agreement

These Terms, together with any executed Statement of Work, proposals, or other documents expressly incorporated by reference, constitute the entire agreement between you and HyFe with respect to the Services.
